ABOUT THE PROJECT

We have developed a new investment thesis to focus on the student housing asset class that can still achieve significant cap rate differential vs. conventional multifamily products. With this being said, we, along with our co-sponsor, Nitya Capital, are proud to announce our offering for a 3 property student housing portfolio consisting of 2,598 beds across Mississippi, Texas, and North Carolina.

Nitya Capital and MarketSpace Capital (“The Sponsor’s”) are seeking to acquire
100% ownership in student housing properties across Mississippi, Texas, and North Carolina. This is a Class A asset portfolio comprised of a total of 2,589 beds.

The portfolio fits squarely within The Sponsor’s student housing investment thesis, which includes:

• Strong universities with enrollments over 15K.

• Good asset quality, with limited deferred maintenance – All assets are 2009+ vintage, with heavy capital expenditure done by the seller.

• Cap rate differential vs. conventional MF – The Sponsor’s are acquiring the portfolio at a cap rate of 5.37%, 250 bps higher than Class A conventional multifamily opportunities.

• High momentum assets – the portfolio is preleased at 89% for academic year 22-23, and all the assets have achieved a rent growth of 4% vs. last year.

These Class A assets further extend The Sponsor’s recent expansion into Student Housing, which acts as a promising asset class. The key factors that make this asset class a lucrative opportunity are:

• Compelling cap rates (4.5%-5.6% vs. 3.00%-3.75% in multifamily assets) • Low Collection Volatility (parent rent guarantee) • Growing Institutional Interest
